Important - read carefully

Be sure to carefully read and understand all of the rights and restrictions described in this End User License Agreement ("EULA").

Use of the Software constitutes the Licensee's acceptance of these terms and conditions and an agreement to abide by them.

End-User License Agreement ("EULA")

Legal Agreement. This End-User License Agreement ("EULA") is a legally binding agreement between the Licensee (as defined below) and SOFPRO ("Licensor") for the Software accompanying this EULA.

Definition of Licensee. "Licensee" shall mean the individual or legal entity that has acquired a valid license to use the Software.

Definition of Software. "Software" shall mean any software, whether provided as a downloadable application or as an online service, tool, utility, documentation, or similar item delivered by SOFPRO. This includes the license file and any revisions, updates, or upgrades made available by SOFPRO under the terms and conditions set out in this EULA.

Acceptance of Terms. By installing, copying, or otherwise using the Software, the Licensee explicitly agrees to be bound by the terms of this EULA.

Refusal of Terms. If the Licensee does not agree to the terms of this EULA, the Licensee shall not install, access, or use the Software.

Internet Connection and Activation. The Licensee acknowledges and agrees that the use and licensing of the Software requires an active Internet connection. The Software may connect to the SOFPRO activation center to validate, verify, or otherwise manage the issued Software license.

Data Backup Responsibility. The Licensee alone is strictly responsible for backing up all data, configurations, and settings stored within or processed by the Software.

Scope of the End User License

License Status. The Software is protected by copyright laws, international copyright treaties, and other intellectual property laws and treaties. The Software is licensed, not sold.

Grant of License. SOFPRO hereby grants to the Licensee a non-assignable and non-exclusive right to use the Software in accordance with the terms and conditions set out in this EULA, solely for the Licensee’s own internal business operations. This license becomes effective upon installation by the Licensee and shall remain in force until terminated by either party.

Ownership and Intellectual Property. The Licensee shall acquire no ownership rights, titles, or interests in or to the Software. SOFPRO retains all intellectual property rights to the Software, updates, documentation, and all data enclosed therein, including, but not limited to, copyrights, trademarks, and all other proprietary rights.

Reservation of Rights. All rights not expressly granted to the Licensee under this EULA are strictly reserved by SOFPRO.

Application Protection. The Licensee may use the provided Software to protect and distribute an unlimited number of the Licensee's own applications.

Redistributable Modules. The Licensee may freely distribute the provided redistributable modules alongside the Licensee's protected applications.

Digital Signing. The Licensee may digitally sign the provided redistributables, provided that they have not already been digitally signed by SOFPRO.

Restrictions

Copyright Notices. The Licensee must maintain all copyright notices on all copies of the Software.

Subscription Terms. The Software is licensed on a subscription basis and must be renewed annually (every 12 months). A monthly subscription payment option may be made available for the Software.

Grant of Rights. A Subscription grants the Licensee the right to use the Software solely during the active Subscription term.

Expiration and Non-Renewal. If the Subscription is not renewed, the Licensee's right to use the Software shall immediately terminate, and the Licensee will no longer be eligible to receive updates or technical support.

Per-Computer Licensing. The Licensee must purchase a separate Subscription for each individual computer on which the Software is installed or used.

Remote and Network Use. The Licensee may not install the desktop version of the Software on a network server for remote access and use by multiple users. Each remote user requires a separate, dedicated Subscription.

Reverse Engineering. The Licensee shall not reverse engineer, decompile, or disassemble the Software.

Rental and Lease Prohibitions. Except as expressly permitted in the "Software Transfer" section below, the Licensee may not rent, lease, lend, sublicense, or otherwise temporarily transfer the Software to any third party.

Software Transfer. The Licensee may permanently transfer all rights under this EULA to another party a single time, provided that:

  • the Licensee retains no copies of the Software;
  • the Licensee transfers the Software in its entirety (including all component parts, media, printed materials, upgrades, and this EULA); and
  • the recipient explicitly agrees to all terms and conditions of this EULA.

License Ownership Information. Please note that the Software will permanently retain the registration information of the original Licensee. If the new recipient requires this ownership information to be updated or changed in the Software or the Licensor's database, the purchase of a new Software license shall be required.

Support Services

Provision of Support. SOFPRO may, at its sole discretion, provide the Licensee with support services related to the Software ("Support Services"). The use of Support Services is governed by SOFPRO policies and programs described in the user manual, online documentation, or other materials provided by SOFPRO.

Supplemental Code. Any supplemental software code provided to the Licensee as part of the Support Services shall be considered part of the Software and shall be subject to the terms and conditions of this EULA.

Technical Information. With respect to any technical information provided by the Licensee to SOFPRO as part of the Support Services, SOFPRO may use such information for its business purposes, including product support and development. SOFPRO shall not utilize such technical information in a form that personally identifies the Licensee, except to the extent strictly necessary to provide the Support Services.

Replacement, Modification, and Upgrades

Right to Modify. SOFPRO reserves the right to replace, modify, or upgrade the Software at any time, and to charge fees for any such replacement, modified version, or upgrade. Software replacements, modifications, and upgrades are governed by SOFPRO policies and programs described in the user manual, online documentation, or other SOFPRO-provided materials.

Status of Upgrades. Any replacement code, modified software code, or upgrade offered to the Licensee by SOFPRO shall be considered part of the Software and subject to the terms of this EULA, unless this EULA is superseded by a new agreement accompanying such replacement, modification, or upgrade.

Conditions of Continued Use. In the event that SOFPRO offers a replacement, modified version, or upgrade to the Software:

  • (a) the Licensee's continued use of the Software is strictly conditioned upon the acceptance of such replacement, modified version, or upgrade, along with any accompanying superseding agreement; and
  • (b) in the case of a replacement or modified version, the Licensee's right to use all prior versions of the Software shall automatically terminate.

Refunds

All Sales Final. All sales are final. The particular fitness of the Software must be tested by the purchaser during the free trial phase prior to completing a purchase. SOFPRO does not issue refunds after a purchase has been processed.

Trial (DEMO) Version

Evaluation Period. The Licensee may use the DEMO version of the Software solely for evaluation purposes for a maximum period of thirty (30) days. Any files protected or generated with the DEMO version of the Software during this trial period shall not be distributed to third parties, whether commercially or non-commercially. Upon the expiration of the evaluation period, the Licensee must either purchase a valid license for the Software or immediately cease all use of the DEMO version.

Termination

Termination for Cause. Without prejudice to any other rights, SOFPRO may terminate this EULA immediately if the Licensee fails to comply with any of its terms and conditions. SOFPRO may also terminate this EULA by offering the Licensee a superseding agreement for the Software, or any replacement, modification, or upgrade thereto, conditioning continued use upon the acceptance of such superseding agreement. Additionally, SOFPRO reserves the right to terminate this EULA at any time by notifying the Licensee that continued use of the Software is prohibited.

Effects of Termination. In the event of termination of this EULA for any reason, the Licensee must immediately cease all use of the Software and destroy all copies of the Software and all of its component parts.

Copyright and Content Ownership

Software Ownership. All titles, copyrights, and intellectual property rights in and to the Software (including, but not limited to, any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software) and the accompanying printed materials are owned exclusively by SOFPRO.

Third-Party Content. All titles and intellectual property rights in and to any content that may be accessed through the use of the Software are the property of the respective content owners and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants the Licensee no rights to use such third-party content.

Documentation. If the Software contains documentation provided solely in electronic form, the Licensee may print one (1) copy of such electronic documentation exclusively for personal use. The Licensee shall not copy any printed materials accompanying the Software.

Intellectual Property

Retention of Rights. The Software is protected by copyright laws, international copyright treaties, patents, trade secrets, and other intellectual property rights. As between the Licensee and SOFPRO, SOFPRO shall retain all rights, titles, interests, ownerships, and intellectual property rights in and to the Software, including all current and future enhancements, modifications, revisions, new releases, updates, derivative works based thereon, and all associated documentation. This License confers no title or ownership in the Software and does not constitute a sale of any rights. SOFPRO reserves all rights not expressly granted to the Licensee.

Disclaimer of Warranties

"AS IS" WARRANTY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOFPRO AND ITS SUPPLIERS PROVIDE THE SOFTWARE "AS IS" AND WITH ALL FAULTS. SOFPRO HEREBY DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, LACK OF VIRUSES, LACK OF NEGLIGENCE, OR LACK OF WORKMANLIKE EFFORT. FURTHERMORE, THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, OR NON-INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE REMAINS SOLELY WITH THE LICENSEE.

Exclusion of Damages and Consequential Loss

LIMITATION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOFPRO OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR INJURY TO PERSONS OR PROPERTY, LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE. THIS APPLIES WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF SOFPRO OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS EXCLUSION SHALL BE EFFECTIVE EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Indemnification

Licensee Liability. The Licensee agrees to indemnify, defend, and hold harmless SOFPRO and its affiliates from any claims, demands, liabilities, or losses, including reasonable attorneys' fees, made by any third party due to or arising out of the Licensee's use of the Software, the Licensee’s violation of this EULA, or the Licensee’s violation of any rights of a third party.

Limitation and Release of Liability

TOTAL RELEASE. TO THE FULL EXTENT ALLOWED BY LAW, THE LICENSEE HEREBY RELEASES SOFPRO AND ITS SUPPLIERS FROM ANY AND ALL LIABILITY ARISING FROM OR RELATED TO ALL CLAIMS CONCERNING THE SOFTWARE OR ITS USE. IF THE LICENSEE DOES NOT AGREE TO ACCEPT THE SOFTWARE UNDER THE TERMS OF THIS EULA, THE LICENSEE MUST NOT INSTALL, ACCESS, OR USE THE SOFTWARE.

Governing Law and Jurisdiction

Governing Law. This EULA, and any dispute or claim arising out of or in connection with it or its subject matter, shall be governed by and construed exclusively in accordance with the laws of the Republic of Serbia, without giving effect to any choice of law or conflict of law provisions.

Jurisdiction. The Licensee and SOFPRO irrevocably agree that the competent courts in Belgrade, Serbia, shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or relating to this EULA, including its formation, validity, binding effect, interpretation, performance, breach, or termination.
